Horsham Acting Sergeant Stuart Chilver said the Major Collision Investigation Unit was investigating the crash and inquiries were continuing.
Police have not released the victim's name.
The Henty Highway was closed from Dooen School Road to Ladlows Road until yesterday afternoon as investigators worked at the scene.
Victoria Police media officer Belinda Nolan said investigators believed the accident happened about 10pm when the male driver, 28, of Horsham, lost control of the black Holden station wagon and veered off the road.
She said police believed the car hit a drain then crashed into a fence and flipped before coming to rest in a paddock.
The woman, 31, was trapped inside the vehicle.
"Paramedics were unable to revive her and she died at the scene at 12.45am Thursday," Ms Nolan said.
"The driver was taken to Wimmera Base Hospital with serious but non-life-threatening injuries."
Ms Nolan said the unit would prepare a report for the coroner.
She said police had appealed for witnesses and anyone with information could call Crime Stoppers on 1800 333 000.
